Welcome to Raisely. These Terms of Service ("Terms") govern your access to and use of Raisely ("Service"), operated by Raisely ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. Description of Service
Raisely is an AI-powered fundraising platform for pre-seed and seed-stage founders. The Service includes:
- Pitch deck generation — AI-generated pitch decks assembled from founder-provided data and publicly available information about your company and market.
- Investor matching and pipeline — A curated list of investors matched to your stage, sector, and raise amount, with fit scoring and outreach tracking.
- Personalized investor outreach — AI-drafted outreach emails personalized to each investor, sent through your connected Gmail account on your behalf.
- Data room and document sharing — Tools to organize and share fundraising materials with prospective investors via secure links.
- Email integration — Optional Gmail OAuth connection that allows Raisely to send investor emails from your Gmail address.
2. Accounts and Eligibility
You must be at least 18 years old and capable of forming a binding contract to use the Service. By using Raisely, you represent and warrant that you meet these requirements.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@raisely.polsia.app if you suspect unauthorized access.
3. Email Sending Feature (Gmail Integration)
Important: When you connect Gmail, Raisely requests only the gmail.send permission scope. This means we can send emails on your behalf but cannot read, access, or modify any messages in your inbox.
3.1 How It Works
After you authorize the Gmail integration, Raisely will send investor outreach emails directly from your Gmail address. Each email is drafted by our AI based on the investor's profile and your company information. You can review and edit drafts before they are sent.
3.2 Your Consent to Send
By connecting your Gmail account, you explicitly authorize Raisely to:
- Compose and send emails to investors in your pipeline from your Gmail address;
- Include your name, company information, and pitch materials in those emails;
- Track outreach status (sent/not sent) within the Raisely platform.
You remain responsible for the content and legality of all emails sent through the Service. Raisely sends emails only to investor contacts you have selected or approved within the platform.
3.3 Revoking Access
You may disconnect Gmail at any time from your Raisely dashboard under Settings → Connections. You can also revoke access directly through your Google Account at myaccount.google.com/permissions. Revoking access will immediately stop all future email sending through the Service.
3.4 Compliance with Gmail Policies
You agree to use the email sending feature only for legitimate investor outreach related to a genuine fundraising process. You may not use Raisely to send unsolicited bulk email, spam, harassing messages, or communications that violate any applicable law.
4. AI-Generated Content
Raisely uses artificial intelligence to generate pitch decks, investor match analyses, outreach copy, and related materials. You acknowledge and agree that:
- AI outputs may contain errors. AI-generated content is provided as a starting point and may be inaccurate, incomplete, or not suited to your specific situation. You are responsible for reviewing and verifying all content before use.
- You retain ownership of your inputs. You retain all rights to the information you provide to the platform (company metrics, pitch materials, descriptions).
- We do not claim ownership of outputs. Subject to these Terms, AI-generated outputs produced using your inputs are yours to use for your fundraising purposes.
- Publicly available data. Deck generation may incorporate publicly available information about your company, market, and competitors sourced from the web. We do not guarantee the accuracy of third-party data.
- No professional advice. Nothing generated by Raisely constitutes legal, financial, investment, or accounting advice. Consult qualified professionals for such guidance.
5. Investor Pipeline and Data
Investor profiles in the Raisely pipeline are sourced from publicly available information, databases, and AI-assisted research. We strive for accuracy but cannot guarantee that investor information is current, complete, or correct. You are responsible for performing your own diligence on any investor before engaging with them.
Raisely does not introduce you to investors, act as a placement agent, or charge success fees in connection with any investment. The Service is a software tool only.
6. Data Room and Document Sharing
When you use Raisely's data room or document sharing features, you are responsible for the accuracy and legality of all materials you upload or share. You may not upload materials that infringe third-party intellectual property rights, contain false statements, or violate applicable securities laws.
Shared document links are accessible to anyone with the link. Keep links confidential and do not distribute them publicly.
7. Subscription and Billing
7.1 Paid Plans
Access to Raisely's full feature set requires a paid subscription at $49 per month ("Plan"). The Plan renews automatically on a monthly basis unless cancelled.
7.2 Payment
Payment is processed securely by Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. All charges are in USD.
7.3 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not issue prorated refunds for partial months.
7.4 Price Changes
We may change subscription pricing with at least 30 days' notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
7.5 Free Trial / Waitlist
We may offer limited free access or waitlist-based early access from time to time. Specific terms for such offers will be communicated at the time of the offer.
8. Acceptable Use
You agree not to use the Service to:
- Send spam, unsolicited mass communications, or emails that violate the CAN-SPAM Act or any anti-spam law;
- Misrepresent yourself, your company, or your fundraising materials to investors;
- Upload or transmit malware, viruses, or malicious code;
- Attempt to circumvent security features or gain unauthorized access to systems;
- Scrape, copy, or redistribute Raisely's investor database or proprietary data;
- Violate any applicable law, regulation, or third-party right;
- Use the Service for any purpose other than legitimate startup fundraising.
We reserve the right to suspend or terminate accounts that violate these rules.
9. Intellectual Property
The Raisely platform, including its software, algorithms, design, and brand elements, is owned by us and protected by intellectual property law. You may not copy, modify, distribute, or reverse-engineer any part of the Service.
You grant us a limited, non-exclusive license to process the data and content you provide solely to operate and improve the Service.
10. Privacy
Our Privacy Policy describes how we collect, use, and protect your information. By using Raisely, you agree to our Privacy Policy.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES. AI-GENERATED CONTENT IS PROVIDED WITHOUT ANY GUARANTEE OF ACCURACY OR SUITABILITY.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAISELY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless Raisely and its affiliates, officers, employees, and agents from any claims, liabilities, damages, or expenses (including attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason, with or without notice. Upon termination, your right to use the Service ceases immediately.
You may terminate your account at any time by cancelling your subscription and contacting us. We will delete your account data within 30 days of termination, subject to any legal retention obligations.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or via a notice in the Service at least 7 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the updated Terms.
